Description of Services. The Company shall perform the following Services subject to Rippling applications and features available to The Client’s active subscriptions: 

A. General Practices
  1. The Company will:
    1. Align a Primary Contact for The Client to reach out to. 
    2. Use a pod model in case the Primary Contact is out of office temporarily. In these situations, the client can use the following email address for urgent situations: managed.services@aypconsulting.tech
B. Managed Services
  1. Managed Payroll
    1. The Company will:
      1. Complete payruns for on-cycle and off-cycle needs and provide a pay cycle checklist.
      2. Monitoring statutory changes and updating system configurations according to federal, state and local tax laws.
      3. Manage garnishments and court-ordered deductions by collecting documentation, maintaining system configuration and updating the client on applicable next steps.
      4. Troubleshoot payroll system issues.
      5. Generate 3 custom payroll reports per month and provide standard payroll reports per request.
      6. Handle general employee inquiries related to payroll (such as inquiries about pay and deductions).
      7. Collaborate with accounting to ensure accurate financial reporting.
      8. Handle Unemployment Insurance claim filing by collecting documentation and advising on initial contests of unemployment claims where appropriate. 
      9. Prepare and transmit payroll-related payment or contribution files to statutory authorities and benefits providers, including but not limited to retirement schemes, health plans, commuter programs, and other country-specific benefits.
      10. Perform a Year-End Review.
      11. Update Payroll Tax rates for State and Local accounts.
    2. The Company will only perform the following scope through Hourly work or other predetermined pricing:
      1. Register for tax accounts unless included as a change order.
      2. Maintain configuration for state and local tax accounts.
      3. Custom audit reports other than the AYP standard and/or reporting requests.
      4. Process correction payruns that are not caused by AYP error.
    3. The Company will not:
      1. Assist employees in choosing their withholding amounts on state or federal tax forms, or otherwise give tax advice to employees.
  2. Managed Benefits
    1. The Company Will:
      1. Manage HSA & FSA by sending contribution files, ensuring employees are enrolled.
      2. Assist with self billing for Life Deductions, Long term Disability, short term Disability, and Voluntary Life (if applicable).
      3. Audit monthly insurance invoices against employee enrollments in the benefits admin platform.
      4. Troubleshoot deductions transferred to Rippling Payroll application.
      5. Manage plan configuration for all Benefit products native to Rippling.
      6. Handle general employee inquiries related to benefits.
      7. Evaluate and assist in negotiations on benefit plan options from your carrier.
      8. Manage qualified life event transactions within the HCM platform.
      9. Administer COBRA continuation coverage transactions
      10. Manage FMLA and leave of absence benefits.
      11. Prepare required government filings and reports.
      12. Develop and distribute benefits information materials.
      13. Conduct benefits orientation sessions for new employees.
    2. The Company will only do the following once per calendar year. Any duplication of these tasks will be billed as hourly work:
      1. Configure Open Enrollment.
      2. Create benefit plans annually as part of Open Enrollment.
    3. The Company will not:
      1. Assist employees in choosing the correct benefit plans for their specific health or financial situation.
  3. Managed Talent
    1. The Company will:
      1. Configure 2 Review Cycles and 2 Compensation Cycles per calendar year. A maximum of 50 total questions, across all Review Types, will be configured per Review Cycle.
        1. Import Headcount Plan one time per calendar year
        2. Update Compensation Bands one time per calendar year in your compensation software. The Company is not subject to provide this data or update data based on market rates. The Client is responsible for providing the data.
        3. Configure Job Requisitions and maintain Rippling Recruiting product settings. 
        4. Configure up to 1 survey per month with a maximum of 15 questions per survey.
        5. Configure Learning course eligibility rules (Note: that Managed HRIS only includes legally mandatory LMS courses)
        6. Configure and maintain approvals pertaining to the Talent products
    2. The Company will only perform the following scope through hourly work or other predetermined pricing:
      1. Recruiting activities such as posting Job Requisitions and conducting interviews
      2. Conduct Calibration or Compensation Review sessions
      3. Create competitive or market rate compensation bands
  4. Managed HRIS
    1. The Company will:
      1. Process Hires, Terminations and Transfers
      2. Update Employee data within the platform
      3. Conduct Weekly Onboarding Session
      4. Configure and maintain approvals pertaining to the HR Core products
      5. Configure mandatory HR trainings in a learning management system.
      6. Build out a single employee handbook with all state compliance requirements.
      7. Communicate with your HCM platform Vendor for ticket resolution.
      8. Handle employee inquiries related to employment policies and your onboarding and offboarding process and logistics.
      9. Create one internal guide on HR processes for Admins.
      10. Reorganization of departments, people, Levels, Teams, Job Families or other structures one time per calendar year
  5. Managed Platform:
    1. The Company will:
      1. Create, edit, or adjust up to 5 custom workflows or formulas reports per month.
      2. Manage, edit and create Permissions, Custom Fields and Approvals in the Client’s HCM environment.
      3. Provide up to 20 hours of analytics work meaning building or updating reports, dashboards and Custom Applications within the HCM environment.
C. Custom Solution Templates
  1. General Scope
    1. The Company will:
      1. Implement the Custom Solution Templates as provided by The Company in this live document and as listed in the Fees section of this SOW.
      2. Each additional Solution template will come with 5 additional hours of customization time complimentary. 
      3. Each Solution will be invoiced on a Per Employee Per Month basis as structured in the Fees Section of this SOW or any future Change Order. 
      4. Any additional scope of implementation or maintenance refining the requirements of the solution will be billed and invoiced on an hourly basis. This scope is subject to the Hourly Work scope in this SOW. 
      5. The Work Product of any Custom Solution Template is considered the sole property of The Company and subject to removal upon the termination of this scope and or this SOW. The Client agrees to allow The Company to remove such data and is not allowed to copy any of its work without written approval from The Company.

  3. Servicing Custom App Records
    1. The Company will outline a process map for how to handle record creation and servicing of records to keep them organized and thoroughly documented.
